Annual General Meeting and Board Business
The meeting began with the Annual General Meeting of the Prince Edward County Affordable Housing Corporation, chaired by Councillor Phil St Jean. All five board members were present, with a mix of in-person and virtual attendance. The AGM was largely procedural, including confirmation of the agenda, approval of previous minutes, and confirmation of a corporate bylaw previously addressed at an earlier meeting.

Council confirmed there were no disclosures of pecuniary interest, approved the prior AGM minutes, and formally endorsed Corporate Bylaw Number Four with agreement from the sole shareholder representative. The AGM wrapped quickly and cleanly, signaling a smooth transition into the regular open board meeting.
Financial Update and the State of the Corporation
The first major discussion in the open meeting was a financial update presented by Aaron McNichol, Director of Finance. This was the first financial report brought to the Housing Corporation since he assumed the role.
Board members were walked through three documents: a capital report, a statement of financial position, and a statement of operations. The most notable point was a capital budget overrun of approximately 601 thousand dollars, largely tied to work on the Wellington Arena redevelopment project. While the corporation currently holds approximately 548 thousand dollars in bank accounts, there remains a payable balance owed to the County.
The report also highlighted an unclaimed HST rebate of approximately 65 thousand dollars, which staff plan to recover once CRA registration is completed. Operationally, the corporation has minimal recurring revenue, limited largely to interest income, and few expenses beyond insurance, software, and audit costs.
Board members raised concerns about audit fees approaching 15 thousand dollars, questioning whether the cost is reasonable for a relatively small corporation. Staff acknowledged the concern and indicated that efficiencies and process improvements are being explored.

The board formally received the financial statements and directed staff to prepare a draft 2026 budget for the next meeting, marking an important step toward more structured financial planning.
Board Recruitment & Governance
The board then addressed recruitment and governance, approving a motion to designate the entire board as the nominating committee for reviewing applications. Recruitment for new board members is underway as part of the County’s broader committee recruitment drive, with a clear emphasis on attracting candidates with financial, legal, planning, fundraising, or project management experience and an interest in affordable housing.
Members emphasized the importance of ensuring the housing corporation’s recruitment does not get lost among other municipal postings. Staff confirmed targeted communications and social media outreach will support visibility and direct applicants to the Housing Corporation.
